Acceptance of Terms

By accessing or using the CeremonySync platform, website, and related services (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to all of these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and CeremonySync. By creating an account, subscribing to a plan, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

Service Description

CeremonySync is a software-as-a-service (SaaS) platform designed for wedding venue management. Our platform provides tools to help wedding venue operators streamline and manage their business operations, including but not limited to:

  • Lead management and inquiry tracking
  • Proposal creation and delivery
  • Contract generation and electronic signatures
  • Guest list management and coordination
  • Event scheduling and calendar management
  • Client communication and messaging
  • Payment tracking and invoicing
  • Reporting and analytics

CeremonySync reserves the right to modify, update, or discontinue any feature or aspect of the Service at any time, with or without notice. We will make reasonable efforts to notify users of material changes to the Service.

User Accounts

To access the Service, you must create an account by providing accurate, complete, and current information during the registration process. You are responsible for maintaining the accuracy of your account information and updating it as necessary.

You are solely responsible for safeguarding the password and credentials associated with your account. You agree not to share your login credentials with any third party and to notify CeremonySync immediately if you become aware of any unauthorized access to or use of your account.

You are responsible for all activities that occur under your account, whether or not you have authorized such activities. CeremonySync will not be liable for any loss or damage arising from unauthorized use of your account.

CeremonySync reserves the right to suspend or terminate any account that violates these Terms, provides false or misleading information, or engages in activity that is harmful to the Service or other users.

Subscription & Billing

CeremonySync offers a subscription-based pricing model at $299 per month. All new accounts are eligible for a 14-day free trial, during which you may access the full features of the Service at no charge.

Free Trial

Your 14-day free trial begins on the date you create your account. You will not be charged during the trial period. If you do not cancel before the trial period ends, your subscription will automatically convert to a paid plan and your designated payment method will be charged.

Billing

Subscription fees are billed monthly in advance. By providing a payment method, you authorize CeremonySync to charge the applicable subscription fee to your payment method on a recurring monthly basis. All fees are quoted in United States dollars (USD) and are non-refundable except as expressly stated in these Terms or required by applicable law.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@ceremonysync.com. Upon cancellation, your subscription will remain active until the end of your current billing period. You will not be charged for subsequent billing periods after cancellation.

Price Changes

CeremonySync reserves the right to modify subscription pricing. We will provide at least 30 days' notice before any price change takes effect. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Payment Processing & Platform Fees

Stripe as Payment Processor

All payment transactions processed through the CeremonySync platform — including client deposits, payments, and invoices collected on your behalf — are facilitated by Stripe, Inc. (“Stripe”), a third-party payment processor. By enabling or using the payment processing features of the Service, you agree to be bound by Stripe's Services Agreement and Stripe's Privacy Policy, as each may be updated by Stripe from time to time. CeremonySync is not a party to and has no control over Stripe's terms, pricing, or policies.

You authorize CeremonySync to share your account and transaction information with Stripe to the extent necessary to facilitate payment processing. You are responsible for ensuring that your Stripe account is properly configured, compliant with Stripe's requirements, and in good standing. CeremonySync is not liable for any fees, holds, disputes, chargebacks, or other actions taken by Stripe with respect to your account or funds.

Platform Fee

In addition to any fees charged by Stripe for payment processing, CeremonySync charges a 1% platform fee on each transaction processed through the Service. This fee is separate from and in addition to Stripe's standard processing fees (currently 2.9% + $0.30 per successful card charge in the United States, subject to change by Stripe). The platform fee is automatically deducted from each transaction at the time of processing.

The platform fee applies to all payments collected through the CeremonySync payment features, including deposits, installments, and final balances. CeremonySync reserves the right to modify the platform fee rate upon at least 30 days' written notice to you. Continued use of the payment processing features after the effective date of a fee change constitutes your acceptance of the updated rate.

Taxes & VAT

General

All fees quoted by CeremonySync are exclusive of any applicable taxes, duties, levies, or similar governmental charges, including value-added tax (VAT), sales tax, goods and services tax (GST), or equivalent. You are responsible for determining and paying all taxes associated with your use of the Service, except for taxes based on CeremonySync's net income.

EU Customers — Business-Only Requirement

Subscribers located in the European Union must be acting in a business capacity and are required to provide a valid VAT identification number (VAT ID) during checkout. CeremonySync does not offer subscriptions to individual consumers within the EU. If you are unable to provide a valid VAT ID, you will not be able to complete your subscription.

Reverse Charge Mechanism

For EU business subscribers, CeremonySync applies the reverse charge mechanism in accordance with Article 196 of the EU VAT Directive (2006/112/EC). This means that VAT is not charged on invoices issued to EU business customers. Instead, you as the customer are responsible for self-assessing and remitting VAT to your local tax authority under the reverse charge procedure. All applicable invoices will include the notation: “Reverse charge — VAT to be accounted for by the recipient.”

Accurate Tax Information

You are responsible for ensuring that your VAT ID, billing country, and other tax-related information remain accurate and up to date at all times. If your VAT ID is found to be invalid, expired, or unverifiable, CeremonySync reserves the right to charge applicable VAT on current and future invoices until valid tax information is provided.

Invoices

All invoices are generated and delivered through Stripe, our payment processor. Each invoice includes the names of both parties, your VAT ID (where applicable), a description of the services provided, the net amount, and the reverse charge notation where the mechanism applies. You can access and download your invoices at any time through the Stripe customer billing portal linked from your CeremonySync account.

Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that violates these Terms. The following activities are strictly prohibited:

  • Violating any applicable local, state, national, or international law or regulation
  • Uploading, transmitting, or distributing any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempting to gain unauthorized access to the Service, other user accounts, or any related systems or networks
  • Interfering with or disrupting the integrity or performance of the Service or the data contained therein
  • Using the Service to transmit unsolicited commercial communications (spam)
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Service
  • Reselling, sublicensing, or redistributing the Service or any portion thereof without prior written consent from CeremonySync
  • Using automated scripts, bots, or other means to access or interact with the Service in a manner that exceeds normal usage
  • Impersonating another person or entity, or falsely representing your affiliation with a person or entity
  • Collecting or harvesting personal information of other users without their consent

CeremonySync reserves the right to investigate and take appropriate action against anyone who, in CeremonySync's sole discretion, violates these prohibitions, including without limitation removing content, suspending or terminating accounts, and reporting violations to law enforcement authorities.

Intellectual Property

The Service, including but not limited to its software, design, text, graphics, logos, icons, images, and all related intellectual property, is the exclusive property of CeremonySync and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without prior written permission from CeremonySync.

All trademarks, service marks, trade names, and logos displayed on the Service are the property of CeremonySync or their respective owners. Nothing in these Terms grants you any right to use any trademark, service mark, or logo without the express written permission of the owner.

You retain full ownership of all data, content, and materials that you upload, submit, or transmit through the Service (“User Data”). By using the Service, you grant CeremonySync a limited, non-exclusive license to use, store, and process your User Data solely for the purpose of providing and improving the Service.

Upon termination of your account, CeremonySync will make your User Data available for export for a reasonable period. After that period, we may delete your User Data in accordance with our data retention policies.

Limitation of Liability

To the maximum extent permitted by applicable law, CeremonySync, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, business opportunities, or goodwill, arising out of or in connection with your use of or inability to use the Service, even if CeremonySync has been advised of the possibility of such damages.

In no event shall CeremonySync's total aggregate liability to you for all claims arising out of or relating to these Terms or the Service exceed the total amount of fees paid by you to CeremonySync during the twelve (12) months immediately preceding the event giving rise to the claim.

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. CeremonySync does not warrant that the Service will be uninterrupted, error-free, or secure.

Indemnification

You agree to indemnify, defend, and hold harmless CeremonySync, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content or data you submit, post, or transmit through the Service
  • Any activity conducted through your account, whether authorized by you or not

CeremonySync reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with CeremonySync in asserting any available defenses.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States of America, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia. You hereby consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The failure of CeremonySync to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Changes to Terms

CeremonySync reserves the right to modify or replace these Terms at any time at our sole discretion. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, providing additional notice such as an email notification or an in-app announcement.

Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your subscription.

We encourage you to review these Terms periodically to stay informed of any updates. Material changes will not apply retroactively and will become effective no sooner than 30 days after they are posted.
